Terms & Conditions

We grant you a non-exclusive, non-transferable, revocable license to use the Software for the purpose of managing your properties and related activities in Kenya in accordance with these Terms.

This license is subject to the following restrictions:

• You may not sublicense, sell, rent, lease, or distribute the Software
• You may not modify, reverse engineer, or create derivative works
• You may not use the Software for any illegal or unauthorized purpose
• Your license is limited to the number of users and properties specified in your subscription plan

To access the Software, you may be required to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account.

You agree to:

• Provide accurate and complete information during registration
• Update your information to keep it current and accurate
• Maintain the security of your account credentials
• Immediately notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

The Software and its contents, including but not limited to software code, design, trademarks, logos, and documentation, are protected by intellectual property rights owned by Kodi Technologies.

You agree not to:

• Copy, modify, distribute, sell, or create derivative works based on the Software without our prior written consent
• Remove any proprietary notices or labels from the Software
• Use our trademarks or branding without explicit permission
• Attempt to gain unauthorized access to our systems or networks

We value your privacy and will handle any personal data in accordance with the applicable data protection laws in Kenya, including the Data Protection Act, 2019.

By using the Software, you consent to:

• The collection, processing, and storage of your personal information as described in our Privacy Policy
• The use of cookies and similar technologies as outlined in our Cookie Policy
• The transfer of data to third-party service providers necessary for software operation

We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

You are solely responsible for the accuracy, legality, and reliability of the data you input into the Software.

You agree to:

• Use the Software only for lawful purposes
• Comply with all applicable laws and regulations in Kenya
• Not upload or transmit any malicious code, viruses, or harmful content
• Not interfere with or disrupt the Software or servers
• Not use the Software to infringe on others' rights
• Maintain proper backups of your data

We will provide reasonable support and maintenance for the Software as specified in your subscription plan. Support includes:

• Email support during business hours
• Software updates and bug fixes
• Documentation and user guides

We reserve the right to:

• Modify, suspend, or discontinue the Software, or any part thereof, at any time without notice
• Limit support based on your subscription tier
• Charge additional fees for custom development or premium support

To the maximum extent permitted by law, Kodi Technologies shall not be liable for any:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from system failures, security breaches, or data loss
• Third-party claims related to your use of the Software

In no event shall our total liability exceed the fees paid by you, if any, for the use of the Software in the preceding six (6) months.

This limitation applies regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

Either party may terminate these Terms at any time for any reason by providing written notice to the other party.

Upon termination:

• Your right to use the Software will cease immediately
• You must cease all use of the Software and destroy any copies in your possession
• Any outstanding fees become immediately due and payable
• We may delete your data after 30 days (unless required by law to retain it)

We may suspend or terminate your access immediately if you violate these Terms or engage in fraudulent or illegal activities.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.

Before resorting to legal proceedings, both parties agree to attempt to resolve any dispute through good faith negotiations for a period of 30 days.

We reserve the right to modify or update these Terms from time to time. Any changes will be effective immediately upon:

• Posting the revised Terms on our website
• Sending you an email notification
• Displaying a notice within the Software

Your continued use of the Software after the changes will signify your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Software.

It is your responsibility to regularly review these Terms to stay informed of any updates.

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Kodi Technologies regarding the Software.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
